For me:

* Branding = the process of making space in the prospects minds for yourself. Simplistically, Branding = impact * repetition.

* USP = angle you take, hook you create to make yourself stand out from the crowd.

Both of them are 2 distinct animals. A good USP goes a long way in beneficial branding (as a good USP = makes a strong impact).
